1. Auto-renewable subscriptions

After a free trial (60 days when you sign up on the web; 2 months via the App Store when you sign up through the Apple App Store), continued access to Vexo HQ requires an auto-renewable subscription. Subscriptions unlock job management, customer and crew tools, invoicing, and payment collection for one workspace.

App Store subscriptions are billed monthly (1-month length) at these list prices (EUR):

• Solo — 1 month — €24.99 (owner only, no crew seats)
• Solo + 1 — 1 month — €34.99 (1 crew seat)
• Solo + 2 — 1 month — €44.99 (2 crew seats)
• Solo + 3 — 1 month — €54.99 (3 crew seats)
• Solo + 5 — 1 month — €74.99 (5 crew seats)
• Team 10 — 1 month — €79.99 (up to 10 crew seats)

Payment is charged to your Apple ID at confirmation of purchase. The subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage or cancel in iOS Settings → Apple ID → Subscriptions. Unused portions of a free trial are forfeited when you purchase a subscription.

Subscriptions purchased on the web are billed through Stripe and managed at vexohq.com. Subscribe once — Apple or Stripe — and the same account is unlocked on iOS and the web. Manage or cancel where you originally subscribed.

2. Platform Role

Vexo HQ is a software platform that enables tradespeople, contractors, service providers, and customers to manage projects, communicate, generate quotations, issue invoices, receive payments, and access third-party financing and payment services.

Vexo HQ is not a bank, lender, credit provider, debt collector, financial institution, payment processor, payment scheme, or consumer finance provider.

Vexo HQ does not provide loans, credit facilities, consumer financing, financial advice, investment advice, or guarantees of payment.

3. Third-Party Payment Providers

Payments processed through the Vexo HQ platform may be facilitated by third-party providers, including but not limited to payment processors, banks, merchant acquirers, Buy Now Pay Later providers, financing providers, and credit providers.

All payment services, financing decisions, approvals, rejections, repayments, disputes, chargebacks, collections, and credit assessments are solely the responsibility of the relevant third-party provider.

Vexo HQ has no control over and accepts no responsibility for:

• Financing approvals or rejections
• Credit decisions
• Lending decisions
• Loan terms
• Interest rates
• Repayment schedules
• Payment processing delays
• Failed payments
• Chargebacks
• Financing disputes
• Customer defaults

4. No Guarantee of Payment

Vexo HQ does not guarantee payment to any tradesperson, contractor, merchant, business, or user.

The use of the Vexo HQ platform does not create any obligation on Vexo HQ to compensate, reimburse, indemnify, or otherwise pay any amount due from a customer, financing provider, lender, payment processor, or third party.

Any risk of non-payment remains solely with the parties involved in the transaction and any relevant third-party payment or finance provider.

5. Customer Financing

Where financing options are displayed through the Vexo HQ platform, such financing is offered solely by independent third-party providers.

Vexo HQ:

• Does not lend money
• Does not underwrite loans
• Does not guarantee loans
• Does not assess creditworthiness
• Does not make financing decisions

All financing agreements are entered directly between the customer and the relevant financing provider.

Vexo HQ shall not be liable for any losses, claims, disputes, defaults, missed payments, collection activity, credit reporting, or financing-related matters arising from such agreements.

6. No Liability for Customer Default

Vexo HQ shall not be liable for any customer’s inability or failure to:

• Pay invoices
• Repay financing
• Complete payment plans
• Meet contractual obligations
• Repay loans
• Repay instalment agreements

Under no circumstances shall Vexo HQ be required to reimburse any tradesperson, contractor, business, merchant, or customer for losses arising from non-payment by another party.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Vexo HQ, its founders, directors, officers, employees, contractors, shareholders, affiliates, successors, and assigns shall not be liable for:

• Indirect damages
• Consequential damages
• Loss of profits
• Loss of business
• Loss of goodwill
• Loss of data
• Payment disputes
• Credit disputes
• Financing disputes
• Customer defaults
• Chargebacks
• Delayed payments
• Failed payments

The aggregate liability of Vexo HQ for any claim shall not exceed the total subscription fees paid by the user to Vexo HQ during the twelve (12) months preceding the event giving rise to the claim.

8. User Responsibility

Users are solely responsible for:

• Assessing customers
• Reviewing quotations
• Verifying project details
• Complying with applicable laws
• Maintaining appropriate insurance
• Managing contractual relationships

Users acknowledge that Vexo HQ is a software platform only and not a guarantor of transactions.

9. Indemnification

Users agree to indemnify, defend, and hold harmless Vexo HQ, its founders, directors, officers, employees, contractors, shareholders, and affiliates from any claims, losses, liabilities, damages, costs, expenses, legal fees, or proceedings arising out of:

• Their use of the platform
• Transactions conducted through the platform
• Financing arrangements
• Payment disputes
• Breach of these Terms
• Violation of applicable laws

10. No Personal Liability of Founders

Users acknowledge and agree that any services provided through the platform are provided solely by Vexo HQ.

No claim may be brought personally against any founder, director, shareholder, employee, contractor, or representative of Vexo HQ, including Barry Frizzelle or Daniel Murphy, in connection with the use of the platform, except where such liability cannot legally be excluded under applicable law.
